Position Overview

This position is part of the Ethics and Compliance (E&C) group, within the Legal Department, and will support the Kidney Care business, reporting to the Associate General Counsel, E&C Investigations, Governance, and Operations. The Corporate Counsel will manage the Company's third-party compliance program, strategic E&C governance (including policies, training, and communications), and Trade Compliance program, in collaboration with other team members and outside resources.


The candidate selected for this role will:

[Third-Party Program]

  • Manage and oversee the Company's third-party (intermediary) due diligence program, including providing legal advice as to specific due diligence issues.
  • Provide legal advice with respect to anti-bribery/FCPA/trade compliance/business ethics due diligence and background checks on potential international business partners and other third-party intermediaries.

[E&C Policies]

  • Manage the contents and continuous enhancement of the Company's compliance policies and processes, and provide strategic guidance and advice.
  • Develop E&C policies, trainings, and communications initiatives.
  • Collaborate with global E&C team members and lead special project teams involving E&C team members and other colleagues; coordinate with Internal Controls, Accounting, Global Audit, Medical Affairs, and other stakeholders across the company in developing certain policies and processes.

[E&C Training]

  • Lead the development of training and training plans related to all the topics above, in collaboration with E&C colleagues and other stakeholders and with support from Corporate Communications.
  • Support E&C colleagues and other functions with respect to E&C training.

[E&C Communications]

  • Develop E&C-related communications and related initiatives aimed at all or specific segments of Company employees, in collaboration with E&C colleagues and other stakeholders and with support from Corporate Communications.
  • Support E&C colleagues and other functions with respect to E&C communications.

[Trade Compliance]

  • Administer, advise on, and develop the Company's trade compliance program, policies, and procedures, with a focus on sanctions, export controls, and related risks.
  • Provide day-to-day legal advice and assistance on trade compliance matters, including advising and collaborating with the operational trade compliance team within the Supply Chain organization.
  • Review trade compliance matters in connection with potential international business transactions.
  • Collaborate with stakeholders in various functional areas and business units and develop compliance strategies, procedures, and controls.
  • Liaise with U.S. Government officials on licensing, authorization, and regulatory matters and/or coordinate with outside counsel in these activities.
  • Collaborate with and manage outside counsel.
  • Assist with E&C due diligence stemming from the Company's M&A activity.
  • Perform special E&C-related projects on an ad hoc basis.


Education & Experience

  • Juris Doctorate (J.D.) from an accredited law school (if law degree from outside United States, add an LLM from an accredited U.S. law school).
  • 7+ years of experience relevant to the position's responsibilities, preferably a mix of private practice and in-house roles.
  • Knowledge of and experience with anti-corruption, antitrust, and trade compliance laws required; experience in or exposure to interactions with U.S. or foreign enforcement or regulatory agencies preferred.
  • Experience counseling on third-party compliance risks and due diligence issues required; experience managing global third-party compliance programs preferred.
  • Experience counseling on trade compliance matters required; experience managing global trade compliance programs preferred.
  • Experience managing others.
  • Familiar with DOJ, SEC, and HHS OIG guidelines regarding compliance program expectations and best practices.
  • Familiar with U.S. and international anti-corruption regulatory and enforcement trends.
  • Experience in the health care / medical device industries, and knowledge of and experience with healthcare compliance preferred.

  • Ability to travel domestically and internationally for assignments as needed.
  • Fluency in English is required; additional language capabilities are preferred.

We understand compensation is an important factor as you consider the next step in your career. At Baxter, we are committed to equitable pay for all employees, and we strive to be more transparent with our pay practices. The estimated base salary for this position is $176,000 - $264,000 annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than of the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based on upon location, skills and expertise, experience, and other relevant factors. This position may also be eligible for discretionary bonuses, commission, and/or long-term incentive .
