Job Summary

This business and customer-facing role involves the development, drafting, review, amendment, storage, retrieval, training, overall maintenance and direction of contracting for all services and products of Genfare, LLC, including reviewing bid documents, preparing, reviewing and negotiating contracts, license, representative, consulting and other similar agreements; monitoring the performance of contracted parties


The individual in this role will work in a highly visible and collaborative department, with team members of diverse backgrounds and skill sets, to solve some of the most challenging problems in the business. The individual in this role will use contract knowledge to navigate key terms and conditions with customers in order to achieve targeted sales goals for the business. This role is essential to both maintaining and growing the customer base of the business. This individual will be required to exercise independent judgment in managing all phases of a variety of contracts and customer interactions. He/she must possess working knowledge of state and federal laws, rules and regulations governing government contracts.

Principle Duties and Responsibilities

  • Develop and administer commercial contracts and related services, including training under the limited direction of the Chief Financial Officer and in coordination with business leaders, management, finance, and the SPX legal department.
  • Analyze contract requirements to ensure the consistent application of contractual guidelines and company policies, and compliance with appropriate laws and regulations.
  • Review and revise new and existing contracts and other corporate documentation, including but not limited to procurement agreements, vendor agreements, sales contracts, software and SaaS agreements, equipment agreements, terms and conditions, master supply and service agreements, support agreements, reseller agreement, and non-disclosure agreements.
  • Administer, extend, negotiate and terminate standard and nonstandard contracts.
  • Review agreements and advise management of contractual rights and obligations and maintain historical development information.
  • Coordinate with corporate legal department and company management regarding contracting guidelines, form documents, and legal compliance measures.
  • Develop, maintain, and direct the activities concerned with an effective contract administration system for all products manufactured, sold and serviced by the company.
  • Accountable for both financial and risk management perspective with respect to all contract review functions.
  • Administer contract review and negotiation functions for all operating units within company in accordance with corporate guidelines.
  • Assist with the development and administration of new master terms for business units by function and need.
  • Support administration and manage tracking of the master negotiated terms and alliances
  • Review bid process documentation and for products and services, including analysis of technical contract language and market factors; review commercial terms submitted with bids for conformity to contract requirements, negotiate contract terms and participate in the determination of acceptable bids.
  • Communicate and document approvals that deviate from contractual guidelines and company policies, as authorized by Management.
  • Maintain, organize and track contracts and contract negotiation records (e.g. drafts & emails), as well as administer the Contract Lifecycle Management system with SPX IT.
  • Research and draft memoranda by the request of the SPX legal department regarding changes in laws and procedures affecting the company (eg. USMCA, Incoterms, Diversity, Conflict Minerals, etc.)
  • Prepare special reports, including a weekly/monthly project status, and analyses as requested.
  • Support Customer Service warranty issues resolution when customer involves legal counsel or threat of litigation.
  • Develop and administer ongoing contract-related training programs and act as resource for day-to-day issue management.
  • Interface with sales, application engineers and other functional departments
  • Administer other business documentation, including:
    • Review of commercial terms for certain purchasing functions; and
    • Management of lease documentation.
  • Liaison between operating units and SPX Assistant Group General Counsel and SPX Risk Management to ensure compliance with corporate contract standards and corporate insurance program.
  • Consult with SPX Assistant Group General Counsel and SPX Risk Management as needed.
  • Support SPX Group General Counsel as needed/directed, including:
    • Development of master terms and conditions analysis for company (T&C Matrix) and update as corporate standards evolve.
  • Support cost reduction activities and other company initiatives.

Education and Experience

Required Education / Experience

  • B.A. required; paralegal certificate or advanced degree desired but not required.
  • 5+ years experience working with commercial contracts, including contract administration and negotiation in one or more of the following fields, sales and distribution, software/SaaS, manufacturing, procurement, municipal government contracts, or transit/transportation.
  • Must possess high degree of legal acumen.
  • Experience working in a business or legal environment required; extra consideration given to candidates with experience in: an in-house legal department; a law firm; the public transit industry; or municipal government contracts.
  • Demonstrated negotiation experience exemplifying tact and sound judgment.
  • Strong process system skills - must be able to identify and resolve problems in a timely manner, and be able to use intuition and experience to complement data.
  • Expert verbal and written communication skills
  • Exceptional analytical ability - must be able to understand and assess business implications of decisions.
  • Must be able to respond to requests for service and assistance, and must meet commitments to internal and external customers
