Job Description

This is a mid-level position in Contracting. Under minimal supervision, drafts, reviews and negotiates contracts of all types, to identify and mitigate contractual risk issues for the procurement of goods and services for Children's Hospital of Chicago Medical Center and its affiliates (collectively, the "Medical Center"). This role is responsible for contracts of high complexity in an extremely fast paced environment, where accuracy and attention to detail are critical. This position works closely with, and effectively interacts with, all members of the Legal Services team as well all levels within the organization. Employs knowledge and skills necessary to recommend and support the development of ongoing process improvements for contract management within the Department and organization.

Essential Job Functions:

  • Acts as the primary point of contact for assigned contracts involving the Medical Center (excluding payor contracts and contracts for the Office of Sponsored Programs), including new arrangements, amendments and renewals. Contract types include but are not limited to Purchase Agreements, Consignment Agreements, Software Agreements, Consulting Agreements, Services Agreements, Collaboration Agreements, Event Agreements and Lab Services Agreement.
  • Works independently, and with a high degree of accuracy, to review, draft, negotiate and execute contracts of varying complexity, ensuring terms are consistent with Medical Center policies and Legal Services accepted standards and practices.
  • Works collaboratively with all levels within the organization to advise on contractual negotiations, recommendations and processes.
  • Engages with outside parties to negotiate contractual terms in various forms of media, including telephone, video conferences and email.
  • Analyze contractual language of existing agreements to advise internal stakeholders on contractual requirements.
  • Reviews and understands organizational business needs and requirements and ensures that they are appropriately addressed in the business and legal terms in all contracts negotiated to provide appropriate protection of the Medical Center.
  • Collaborates with the Director of Contracting, attorneys in the Legal Services Department, Risk Management, Corporate Compliance Office and Privacy Office as needed on specialized contract reviews.
  • Maintains an in-depth knowledge of the functionality of the contract repository system and creates and generates reports on a routine and as needed basis for organizational and external regulatory requirements including: (a) Corporate Compliance auditing and monitoring, and (b) timely access to current and complete information for all Business Associate Agreements.
  • Assess whether business practices are consistent with contract terms, and support termination of contracts process.
  • Maintains and utilizes a library of contract templates for frequently used documents, collaborating with the Legal Services Department and Director of Contracting to ensure standardized language complies with current legal and regulatory requirements and Medical Center policies.
  • Identifies areas of potential department improvement and, in collaboration with Director of Contracting, implements successful remediation.
  • Provides services in accordance with all organizational and Departmental policies and procedures.
  • Performs job functions adhering to service principles with customer service focus of innovation, service excellence and teamwork to provide the highest quality care and service to our patients, families, co-workers and others.
  • Other job functions as assigned by Director of Contracting or other members of the Legal Services Department.

Knowledge, Skills and Abilities:

  • Minimum of Bachelor's Degree required. Paralegal certification required.
  • Minimum five (5) years of experience directly related to the position, including mid-level proficiency in contract review, drafting, negotiation and management, preferably in an IT and/or healthcare environment.
  • Competent interpersonal and interdisciplinary communication, organizational skills, and efficient time management skills; demonstrates a high level of professionalism.
  • Ability for independent decision making, problem solving and self-directed workflow.
  • Ability to read and interpret complex contractual agreements in an extremely fast paced environment, including managing high volumes of projects and negotiations simultaneously with a high degree of accuracy.
  • Must be able to prioritize, organize and assess work in order to meet aggressive deadlines. Ability to complete work with a high level of accuracy.
  • Ability to communicate effectively with vendors, Medical Center leadership, and end users both verbally and in writing.
  • Ability to effectively utilize computer word processing and spreadsheet software, as well as experience with contract management systems and e-signature software.
  • Ability to maintain a high level of confidentiality and integrity in all aspects of interactions with internal and external business parties.
  • Ability to organize information and resources, effectively prioritize and manage multiple projects and tasks, and the ability to get things performed through, with and by people.

Bachelor's Degree: Law (Required)
